The following is a small sample of capital transactional services that we provide:
- Representation of issuers and investors (including funds and individual investors) in common stock and preferred stock offerings;
- Representation of issuers and investors (including funds and individual investors) in convertible debt offerings;
- Representation of lenders and borrowers in secured and unsecured debt finance transactions.
- Representation of financial institutions with respect to pro-active and re-active capital raise transactions; and
- Representation of emerging growth companies in many sectors, including technology, internet commerce, software, and business services, in their debt and equity raising efforts, providing specific advice on JOBS Act flexibility for such companies.
Mergers and Acquisitions
- Collaborate with management teams and other professionals, including investment bankers and accountants, to identify growth plans and strategize concerning acquisition targets;
- Outline joint ventures and identify strategic alliances that supplement, support and further the key business goals and relationships for our clients;
- Develop a transactional deal structure that meets the finance, operational, tax, transition, and non-business needs of our clients;
- Request and obtain requisite federal, state and regulatory approvals;
- Source, solidify and secure financing, including capital financing through debt and/or equity transactions;
- Identify, resolve and manage transition and integration issues;
- Negotiate, document and manage the underlying transaction through to closing;
- Where applicable, prepare, issue and manage public reporting, including federal and state regulatory reporting obligations; and
- Confer with opposing counsel, buying and selling principals and other members of deal teams with respect to public relations matters.
Organic Growth
- Participation in strategic planning sessions of board of directors and members of the executive management team;
- As it relates to new markets, consideration of potential barriers to entry, including legal, tax and business issues, and development of effective solutions that will minimize burden of planned growth;
- Provide counsel with respect to financing, leasing, licensing, and transactional matters associated with opening a new office, branch or facility;
- Preparation of documentation for registering as a foreign company in international business markets; and
- Apply for, obtain and maintain necessary permits, approvals and registrations associated with expansion into new cities and countries.
